Terms of Service — Matter Money

1. What Matter Money is
Matter Money is self-custodial Bitcoin wallet software. It creates and stores keys on your device and helps you send and receive bitcoin.
We are a software provider, not a bank, a broker or a custodian. We never take possession of your bitcoin, never hold it on your behalf, and are technically unable to move, freeze or recover it. There is no account with us holding your funds.
The app also gives you access to euro services — a euro account and IBAN, the matter debit card, buying and selling bitcoin for euro, identity verification, and the Rewards programme (referrals, challenges and boosts). Those run on wave.space, our regulated-services platform. Same company, separate agreement: they are governed by the wave.space Terms & Conditions, and the licensable financial services within them are provided by our partner Lightspark Payments Europe AS. §7 sets this out and is the section that governs them.
By using Matter Money you agree to these Terms.
2. Who can use it
The wallet: 16 or over. Matter Money is not for under-16s, and we do not knowingly provide it to them. If you are between 16 and 18, use the wallet only with the agreement of a parent or guardian, who accepts these Terms together with you.
The licensable banking services: 18 or over. They involve a payment account and a payment card, which cannot be issued to a minor. The wave.space Terms & Conditions set that limit, and it is not only a promise you make — wave.space verifies your date of birth and identity before any euro feature unlocks, so the age limit is enforced by a check rather than by a clause.
You must also be legally able to enter this agreement, and you may not use Matter Money where doing so breaks the law that applies to you, or if you are subject to applicable sanctions.
The euro services are additionally limited to residents of the countries wave.space serves. The app tells you if your country is not covered.
3. Self-custody — please read this part
This section describes how the software actually works. It is not boilerplate.
3.1 Your keys. Your wallet's key is created on your device from a passkey and stored in the device's secure hardware. It does not leave the device in readable form.
3.2 We cannot recover your bitcoin. If you lose access and your recovery is not set up or not completed, your bitcoin is permanently lost. No one — not us, not our partners — can restore it. This is inherent to self-custody. It is not a limitation we have chosen and it is not one we could remove: there is no copy of your key for us to release, because we never had one.
3.3 Recovery. If you set up recovery, an encrypted copy of your key is escrowed with Turnkey, a specialist key-management provider. Releasing it needs both a code sent to your recovery email and a human review by our support team, so neither we nor Turnkey can release it alone. Keep control of that email address: it is one of the two keys to your backup.
3.4 Transactions are final. Bitcoin transactions cannot be reversed, cancelled or refunded once broadcast. Check the address before you send. We cannot recover funds sent to a wrong or malicious address.
3.5 Your responsibilities. Keep your device secure and its passcode private. Keep your recovery email under your control. Verify addresses before sending. Understand that anyone with your device passcode or passkey may be able to spend your bitcoin.
3.6 Funds have an expiry that renews itself. Your bitcoin is held as Ark VTXOs, which have a validity window and are renewed automatically while you use the app. If you do not open the app for a long period, action may be needed to keep your funds spendable — the app notifies you when it is, and Settings → Security → Refresh your bitcoin does it on demand.
4. Fees
Matter Money charges nothing for the wallet. The app is free. There is no subscription, no in-app purchase, and no fee of ours on sending or receiving bitcoin.
You do pay costs that go to others:
- Bitcoin and Ark network fees, set by the networks, not by us.
- Swap-provider fees and the provider's rate, when you swap or use Lightning (§6).
- wave.space fees for the euro services — conversion, card issuance, card payments and ATM withdrawals. The current schedule is §5 of the wave.space Terms & Conditions.
Fees are shown before you confirm. Where a fee cannot be quoted in advance — some Bitcoin network fees are only known at broadcast — the app says so rather than showing a zero.
5. What the software does not promise
Matter Money is provided as is and as available. We work to keep it available and correct, but we do not guarantee uninterrupted access, that transactions confirm within any particular time, or that third-party networks and services will be available. Your use of the software is at your own risk.
We depend on services we do not control — the Bitcoin and Ark networks, Lightning and swap providers, wave.space and its partners, and Apple's and Google's platforms. Disruption there can prevent you transacting, and we are not liable for those services' acts or omissions.
We may carry out maintenance that makes the service temporarily unavailable. Where it is planned, we will tell you in advance; where it is not, we will tell you as promptly as we can.
6. Swaps and cross-asset exchange
The app can exchange bitcoin for other digital assets, and can send bitcoin over the Lightning network.
6.1 A third party performs it. Swaps are carried out by independent providers, named in the app at the point of use, with a link to the provider's own site. Matter Money is not a counterparty and does not operate an exchange.
6.2 Non-custodial. A swap runs as a contract signed on your device. Your bitcoin is committed to that contract and the provider delivers the counter-asset against it. If the swap does not complete, the contract refunds to you.
6.3 Rates and fees. Quotes come from the provider and can move before you confirm. Network and provider fees are shown before you commit.
6.4 Nothing here is advice. Nothing in Matter Money is investment, tax or legal advice. Digital asset values are volatile and you can lose money. The charts and figures in "Your bitcoin" — including amount invested, average buy price and profit or loss — are informational only. They may be inaccurate or delayed, they are not a statement of account, and they are not a forecast or a recommendation.
7. The banking (euro) services run on wave.space
The euro account and IBAN, the matter debit card, identity verification, buying and selling bitcoin for euro, and the Rewards programme (referrals, challenges and boosts) are wave.space services.
wave.space is operated by the same company as Matter Money, under a separate agreement that you accept at the point you create a wave.space account inside the app:

Those terms govern those services entirely. They are the source of truth for eligibility, verification, limits, fees, the card, the Rewards programme, inactive accounts and account closure. Where anything in this document appears to conflict with them about a euro service, the wave.space Terms apply.
The licensable financial services within them — your euro account, virtual IBAN, crypto account, debit card and trading and exchange services — are provided by Lightspark Payments Europe AS (reg. 16298772, Pärnu mnt 110, 11313 Tallinn, Estonia), as set out in §6 of the wave.space Terms.
Lightspark Payments Europe is authorised and supervised by the Estonian Financial Supervision and Resolution Authority (Finantsinspektsioon) as a crypto-asset service provider under MiCA and as an electronic money institution, passported across the EU. You can check both on the regulator's own public registers rather than taking our word for it:

Your wallet in this app is not one of those services: it stays self-custodial and outside that arrangement.
Support and complaints about a euro service go through wave.space; §13 says how.
8. Messaging
The app includes optional messaging over Nostr, a public network.
8.1 Your content is yours, and it is your responsibility. Do not use messaging to harass, abuse, defraud, threaten, or send unlawful content.
8.2 We do not control the network. Nostr is open. We do not host, moderate or control relays, and a message once published cannot be deleted by us.
8.3 What we do control, and what you can do. By default only your contacts, people you follow, and anyone you have messaged first can reach you; you can open this up in Settings. You can block any account from a chat or their contact card, which takes effect immediately and also removes them from search. You can report an account from the same places — reporting blocks them and sends the report to us for review. Settings → Security → Blocked accounts lists everyone you have blocked. You can also email abuse@wave.space.
8.4 Encryption, and what a report contains. Messages are end-to-end encrypted. Metadata — who and when — may be visible to relay operators. When you report someone we receive the account, your reason and standard diagnostic information, but not the messages: we cannot read them, and sending them would expose the other person's words without their consent. We will ask you for what you want to share.
9. Acceptable use
Do not use Matter Money:
- for any unlawful, fraudulent or deceptive purpose, including identity theft or misrepresentation;
- to launder money, finance terrorism, or commit any other financial crime;
- to evade sanctions or any restriction that applies to you;
- to transmit or store content that is harmful, abusive, or infringes anyone's rights;
- to bypass or compromise any security measure of ours or our partners';
- to gain unauthorised access to any account, system or data; or
- to reverse-engineer the software, except where the law expressly permits it.
We may suspend or end your access if you break this section — see §14.2.
10. Risks you accept
Bitcoin and other crypto assets carry risks that no software can remove:
- Price volatility. Value can move sharply in either direction, and you can lose money.
- Irreversibility. A confirmed transaction cannot be undone by anyone.
- Loss of access. Losing your device without recovery means losing your bitcoin (§3.2).
- Security. Holdings are a target for theft and fraud. Nobody legitimate will ever ask you for your recovery email code, your passcode or your key.
- Regulatory change. The rules covering crypto assets are still developing, and a change could affect how, or whether, parts of this service work.
- Technology. The underlying networks are young. Faults and vulnerabilities can appear.
Nothing in these Terms limits liability that cannot lawfully be limited — including for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or under mandatory consumer law. If you are a consumer, your statutory rights are unaffected by this section.
11. Taxes
You are solely responsible for understanding and meeting the tax obligations that apply to you. We do not give tax advice, and the figures shown in the app are not a tax record. Consult a qualified tax professional.
12. Liability
We are liable to you for damage we cause by breaking these Terms, subject to the limits below.
We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, arising out of or relating to your use of the software. Our total liability for all claims under these Terms will not exceed the amount you have paid us for the service in question.
Two things we cannot be liable for, because we cannot cause them. Bitcoin held in a self-custodial wallet is reachable only by your key, and a broadcast transaction is final on the network. If your key is lost or a transaction goes to the wrong address, the loss is inherent to self-custody, not a risk this contract shifts onto you (§3.2, §3.4). We are equally not liable for the acts or omissions of the independent networks and providers named in §5 and §6.
13. Support and complaints
Matter Money — the app, the wallet, messaging: help@wave.space, or in-app via Settings → Help & about.
Euro services, the card, verification, Rewards: wave.space, under their terms (§7). Their support address is support@wave.space and they aim to answer within 2 business days.
Reporting abusive content: abuse@wave.space, or Report inside the app.
Privacy and data-protection requests: privacy@wave.space, or Settings → Help & about → Privacy request.
Deleting your account or your escrowed key: deletion-request@wave.space. The app composes both of these for you (§14.1); they have their own address because they are irreversible and are carried out by a person, not by a request arriving.
We aim to resolve complaints directly. If you are a consumer in the EU and we cannot resolve yours, you may refer it to the State Consumer Rights Protection Authority of the Republic of Lithuania (Valstybinė vartotojų teisių apsaugos tarnyba), or to the equivalent authority in your country of residence.
14. Changing or ending this agreement
14.1 You. Stop using the app at any time. Settings → Security → Wipe wallet erases the device data — move your bitcoin out first, because erasure is irreversible without recovery. Wiping the device does not delete the encrypted backup of your key or close your wave.space account; those are two further requests, and the app composes each of them for you — Settings → Security → Delete your backup, and Settings → wave.space account → Delete your account. Both go to deletion-request@wave.space and are actioned by a person.
14.2 Us. We may suspend or end your access where required by law or by a court or regulator, where we detect unauthorised access or unusual activity on your account, or where your use breaches §9. Your bitcoin is unaffected: it is held by your keys, not ours, and remains recoverable with your recovery credentials. That is a consequence of how the product is built, not a concession.
14.3 Changes to these Terms. We may revise these Terms. The current version is always available in the app and at the address it links to. Where a change is material, we will notify you in the app at least 30 days before it takes effect. If you continue using Matter Money after a change takes effect, you are bound by the revised Terms.
15. Law and jurisdiction
These Terms are governed by the laws of the Republic of Lithuania. Disputes are subject to the jurisdiction of the courts of Vilnius, Lithuania.
If you are a consumer, this does not deprive you of the protection of the mandatory consumer law of the country where you live, and you may also bring proceedings there.
